1. Agreement to these terms
These Terms & Conditions ("Terms") apply to your use of centangleglobalservices.com and to all services provided by Centangle Global Services LLC ("Centangle", "we", "us"), a California limited liability company located at 405 Manila Road, Lathrop, CA 95330. By using our website, accepting a proposal or paying an invoice, you agree to these Terms.
For each project, your signed proposal or service agreement sets out the specific scope, deliverables, timeline and price. If it conflicts with these Terms, the proposal or agreement takes priority.
2. Our services
We provide custom CRM development, custom software, website and mobile app development, systems integration, UI/UX design, consulting and training. All services are delivered digitally or in person; we do not sell or ship physical products. How projects are delivered is explained in our Delivery of Services policy.
3. Proposals and scope
Before any work begins, we send a written proposal describing the work, deliverables, estimated timeline and total price. Proposals are valid for 30 days unless stated otherwise. Work outside the agreed scope is treated as a change request (see section 7).
4. Payment terms
The initial 60% payment is required to initiate the custom CRM development project. The remaining 40% will be payable upon project completion, before final deployment and handover.
- The same 60% / 40% schedule applies to other custom projects unless your proposal states otherwise.
- All prices are in US dollars. Invoices are due within 7 days of the invoice date unless stated otherwise.
- If a payment is overdue, we may pause work until it is received. Final deployment and handover take place only after the final payment is received in full.
- Third-party costs such as hosting, domains, software licenses and paid APIs are billed separately or paid directly by you, as agreed in your proposal.
5. Cancellations and refunds
You may cancel a project at any time by notifying us in writing. Refunds and amounts due on cancellation are handled under our Refund & Cancellation Policy.
6. Your responsibilities
To keep the project on schedule, you agree to:
- Provide accurate information, content, feedback and approvals in a timely way.
- Give us access to the systems, accounts and data we need for the project.
- Make sure you have the right to use any content, data or materials you supply to us.
- Name a contact person who can make decisions about the project.
Delays in providing these may change the project timeline.
7. Change requests
If you ask for features or changes outside the agreed scope, we will send a written estimate of the extra cost and any effect on the timeline. We begin change requests only after you approve them in writing.
8. Review and acceptance
When the project is complete, you have 7 business days to review it on our test (staging) site and report anything that does not match the agreed scope. We fix those issues at no extra cost. The project is accepted once reported issues are resolved, or if no issues are reported within the review period.
9. Ownership of work
- Once we receive all payments in full, you own the custom code, designs and documentation we created specifically for your project.
- Until full payment is received, all work remains our property.
- We keep ownership of our pre-existing tools, code libraries and know-how, and grant you a permanent license to use any of them that are included in your project.
- Third-party software, plugins, fonts and services remain subject to their own licenses.
- We will not show your project in our portfolio or marketing without your permission.
10. Confidentiality
We keep your business information, data and project details confidential and use them only to provide our services. You agree to keep our proposals, pricing and any non-public information about our methods confidential. How we handle personal information is explained in our Privacy Policy.
11. Support and warranty
Every project includes 30 days of free support after handover, during which we fix bugs and defects in the work we delivered. This does not cover problems caused by changes made by you or others, third-party services, hosting issues or misuse. Apart from this, our services are provided "as is", and we do not guarantee that software will be completely error-free or uninterrupted.
12. Limitation of liability
To the extent permitted by law, Centangle is not liable for indirect, incidental or consequential losses, such as lost profits, lost data or business interruption. Our total liability for any claim relating to a project is limited to the amount you paid us for that project. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Ending a project
Either party may end a project by written notice if the other party seriously breaches these Terms and does not fix the breach within 14 days of being notified. If a project ends early, you pay for work completed up to that date, and we deliver that work to you, as set out in our Refund & Cancellation Policy.
14. Use of this website
The content of this website, including text, graphics and our logo, belongs to Centangle and may not be copied or reused without our permission. You agree not to misuse the website, including by sending spam through the contact form or trying to disrupt or gain unauthorized access to it. Information on the website is general; the terms of your project are set by your proposal.
15. Governing law
These Terms are governed by the laws of the State of California. We'll always try to resolve disagreements informally first. If that isn't possible, any dispute will be handled by the courts of San Joaquin County, California.
16. Changes to these terms
We may update these Terms from time to time. The version in effect when you accepted your proposal applies to your project.
